TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern coaching, consulting, speech development, application support, speechwriting, ghostwriting, promotional services, educational programs, and related professional services provided by:

Red Dot Stage is a business brand operated by Elena Herdieckerhoff and is not a separate legal entity.

Throughout these Terms, "Red Dot Stage," "we," "us," and "our" refer to Elena Herdieckerhoff operating under the Red Dot Stage brand. "Client" means the person or business purchasing or using the applicable services.

By purchasing a program or service, accepting an offer, completing an order, or otherwise expressly accepting these Terms, Client agrees to be bound by them.

1. BUSINESS-TO-BUSINESS SERVICES ONLY

1.1 Red Dot Stage provides its programs and services exclusively to entrepreneurs, self-employed professionals, companies, organizations, and other persons acting in the course of their commercial or independent professional activity.

1.2 By purchasing a program or service, Client represents that Client is entering into the agreement in connection with Client's commercial, entrepreneurial, or independent professional activity and not as a consumer.

1.3 Red Dot Stage services are not offered to consumers.

2. CONTRACTING PARTY AND FORMATION OF AGREEMENT

2.1 The legal agreement is entered into between Elena Herdieckerhoff, operating under the Red Dot Stage brand, and Client.

2.2 The agreement consists of:

a) the specific program, service, proposal, offer, invoice, or payment page accepted by Client;

b) these Terms and Conditions; and

c) any additional terms individually agreed between Elena Herdieckerhoff and Client in writing.

2.3 The agreement becomes binding when Client accepts the applicable offer and these Terms, completes payment or the first installment where applicable, or otherwise expressly confirms acceptance in writing.

2.4 The applicable offer, proposal, invoice, sales page, or payment page determines the specific services, deliverables, duration, and price purchased by Client.

2.5 Where an individually negotiated written agreement conflicts with these standard Terms, the individually agreed provision shall prevail.

3. SERVICES

3.1 Services offered under the Red Dot Stage brand may include:

  • speaker coaching;

  • TEDx strategy;

  • idea development;

  • talk development;

  • speechwriting and ghostwriting;

  • presentation and delivery coaching;

  • application strategy and support;

  • research;

  • business coaching;

  • educational programs and materials;

  • promotional and marketing services; and

  • related professional services.

3.2 Client receives only those services and deliverables expressly included in the specific program or service purchased.

3.3 Unless expressly included in the purchased service, additional coaching sessions, additional revisions, expedited work, travel, in-person meetings, advertising, marketing, public relations, promotional campaigns, or other additional services are not included.

3.4 Elena Herdieckerhoff may engage appropriately qualified employees, contractors, speechwriters, researchers, specialists, agencies, and other service providers to assist in delivering elements of Red Dot Stage services.

3.5 Where Client has specifically purchased personal coaching or strategic services from Elena Herdieckerhoff, the core personal services identified as such will be provided by Elena Herdieckerhoff unless otherwise agreed with Client.

4. CLIENT RESPONSIBILITIES AND COOPERATION

4.1 The quality and timing of Red Dot Stage's work depend in part upon Client's active participation and timely cooperation.

4.2 Client agrees to provide requested information, recordings, manuscripts, questionnaires, source materials, feedback, approvals, access, and other materials reasonably required to deliver the purchased services.

4.3 Client is responsible for the accuracy of factual information supplied to Red Dot Stage.

4.4 Client is also responsible for reviewing the factual accuracy and appropriateness of any final talk, application, biography, written material, or other deliverable before Client publishes, submits, distributes, or presents it.

4.5 Delays by Client in providing materials, attending sessions, providing feedback, approving work, or completing agreed tasks may affect delivery timelines.

4.6 Red Dot Stage is not responsible for delays caused by Client's failure to provide required information, materials, approvals, or cooperation within the requested timeframe.

4.7 Client remains responsible for all final decisions regarding Client's talk, applications, business, public statements, and use of materials developed through the program.

5. RESEARCH AND PREPARATION

5.1 Certain Red Dot Stage programs include substantive research and preparation before coaching or creative work begins.

5.2 Where applicable, Client agrees to provide curated source material within the timeframe communicated by Red Dot Stage.

5.3 Unless otherwise agreed, Red Dot Stage may require approximately two weeks between receipt of all required source material and commencement of the applicable coaching or creative-development phase.

5.4 Where review of Client's existing body of work is included, the amount of material to be reviewed will be limited to the volume specified in the applicable program description, proposal, or written agreement.

6. COACHING SESSIONS AND SCHEDULING

6.1 Coaching sessions are generally conducted remotely by video conference.

6.2 Unless otherwise stated in the purchased program, a standard coaching session is approximately 60 minutes.

6.3 Client is responsible for scheduling sessions using the scheduling system designated by Red Dot Stage.

6.4 Sessions may generally be rescheduled with at least 24 hours' notice.

6.5 If Client cancels or requests to reschedule a session less than 24 hours before its scheduled start, Red Dot Stage may treat that session as used.

6.6 Repeated late cancellations, repeated failure to attend scheduled sessions, or persistent failure to participate in the program may constitute a material breach of the agreement.

6.7 Client is expected to arrive on time and prepared. Client's late arrival does not extend the scheduled session.

6.8 Unless otherwise agreed, communication between sessions takes place by email.

6.9 Red Dot Stage generally aims to respond within 1-2 business days, Monday through Friday, excluding public holidays and periods of notified absence.

6.10 Red Dot Stage may observe public holidays and take reasonable periods of planned absence or vacation during the course of an engagement. Where reasonably practicable, Client will be notified in advance of planned absences that materially affect scheduled sessions or service delivery.

7. PROGRAM DURATION AND UNUSED SERVICES

7.1 The intended duration of each program is stated in the applicable offer or program description.

7.2 Unless otherwise agreed in writing, all coaching sessions and included program services must be used within 365 days of the first coaching session. This provision does not apply to the Application Concierge Service under Section 9 or to promotional services and guaranteed public YouTube views under Sections 20 and 21, which are governed by their respective provisions and the applicable offer or purchase confirmation.

7.3 Subject to the exceptions in Section 7.2, services or sessions not used within the applicable period expire without refund or credit unless otherwise agreed in writing.

7.4 Delays attributable to Client do not automatically extend the duration of the program.

8. SPEECHWRITING AND GHOSTWRITING

8.1 Where speechwriting or ghostwriting is expressly included in Client's purchased service, Red Dot Stage will develop written materials based on Client's ideas, source material, voice, objectives, experiences, and collaboration.

8.2 Unless otherwise agreed, the first substantive draft of a ghostwritten talk will generally be developed within approximately three to four weeks after completion of the applicable content intake process and receipt of all required materials.

8.3 The number of drafts, revisions, or revision rounds included will be determined by the specific program or service purchased.

8.4 Client remains responsible for reviewing and approving the final talk.

8.5 Client is responsible for confirming the accuracy of personal stories, factual claims, quotations, research, references, names, dates, statistics, and other substantive information ultimately presented by Client.

9. APPLICATION CONCIERGE SERVICES

9.1 Where Client purchases the Application Concierge Service, Red Dot Stage provides strategic support to identify and pursue suitable TEDx speaking opportunities on Client's behalf.

9.2 Under the Application Concierge Service, Red Dot Stage will identify suitable TEDx events and pursue applications to up to sixty (60) TEDx events on Client's behalf, or until Client secures a TEDx speaking opportunity through the application process, whichever occurs first.

9.3 Once Client has been accepted as a speaker by a TEDx event, Red Dot Stage's obligation to research and submit further applications under the Application Concierge Service ends. Red Dot Stage is not required to continue applying to additional events in order to reach sixty applications after Client has secured a TEDx speaking opportunity.

9.4 Depending on the specific program purchased by Client, the Application Concierge Service may include:

  • strategic positioning;

  • research and identification of suitable TEDx events;

  • application strategy;

  • development, writing, and/or editing of application materials;

  • submission of applications on Client's behalf, where permitted by the relevant application process;

  • application tracking; and

  • related application support included in Client's purchased program.

9.5 Red Dot Stage will use its professional judgment in identifying suitable opportunities based on factors including Client's idea, expertise, positioning, location, event theme, eligibility requirements, application criteria, deadlines, and other relevant considerations. Red Dot Stage is not required to submit applications to events that it reasonably considers unsuitable, irrelevant, closed, unavailable, or inconsistent with Client's positioning.

9.6 In the unlikely event that Client has not secured a TEDx speaking opportunity after sixty (60) applications have been submitted, the initial Application Concierge Service will be considered complete. Client will then have the option to purchase an extension covering up to thirty (30) additional TEDx applications at a reduced rate. If purchased, the extension continues until Client secures a TEDx speaking opportunity or Red Dot Stage has submitted thirty (30) additional applications, whichever occurs first.

9.7 The reduced rate applicable to the additional thirty-application extension will be the rate offered by Red Dot Stage for that extension at the time the initial Application Concierge Service is completed, unless a specific extension price has been agreed with Client in writing in advance.

9.8 The additional application extension is optional and is not included in the original Application Concierge Service fee.

9.9 Client agrees to provide all information, materials, approvals, and cooperation reasonably required for applications to be prepared and submitted in a timely manner. Red Dot Stage is not responsible for missed opportunities or delays resulting from Client's delays, incomplete information, or failure to provide required approvals or materials.

9.10 TEDx events are independently organized and controlled by third parties. Neither Elena Herdieckerhoff nor Red Dot Stage has authority over organizer selection decisions, application requirements, deadlines, event policies, interview processes, speaker selection, event cancellation, or other organizer decisions.

9.11 Red Dot Stage does not guarantee that Client will be selected, interviewed, invited, or accepted as a speaker by any particular TEDx event, or that the Application Concierge Service will result in a TEDx speaking engagement.

9.12 Client is responsible for ensuring that information provided to Red Dot Stage for use in applications is truthful and accurate.

10. FEES AND PAYMENT

10.1 The applicable fee is the amount stated in Client's accepted offer, proposal, invoice, or payment page.

10.2 Payment may be made in full or through an installment plan where expressly offered.

10.3 Where Client chooses an installment plan, Client is entering into an obligation to pay the full agreed program fee.

10.4 An installment plan is a payment arrangement only. It does not convert the purchased program into a month-to-month subscription or cancellable monthly service.

10.5 Client authorizes Elena Herdieckerhoff and the applicable payment processor to charge scheduled installments in accordance with the payment arrangement selected at purchase.

10.6 Unless otherwise expressly agreed in writing, Client's obligation to pay the agreed program fee is not dependent upon:

  • Client's attendance;

  • Client's completion of the program;

  • implementation of recommendations;

  • TEDx acceptance;

  • speaking opportunities;

  • publication of Client's talk;

  • audience response;

  • revenue;

  • publicity;

  • business results; or

  • any other particular outcome.

10.7 Client is responsible for maintaining valid payment information and promptly updating payment details when necessary.

10.8 If a payment becomes overdue, Red Dot Stage may suspend coaching sessions, access, deliverables, application work, promotional work, or other services until the outstanding amount is paid.

11. FUTURE START DATES AND RESERVATION FEES

11.1 Red Dot Stage may permit Client to book a program in advance for a future start date.

11.2 Where a future start date is reserved in exchange for a reservation fee, the amount and applicable payment schedule will be communicated at the time of booking.

11.3 Unless expressly agreed otherwise, a reservation fee is non-refundable and will be credited toward the total program fee.

11.4 Client acknowledges that reserving future capacity may cause Red Dot Stage to decline other client engagements for the applicable period.

12. CANCELLATION AND REFUNDS

12.1 Red Dot Stage programs involve reserved professional capacity, preparation, research, intellectual work, and professional services.

12.2 Accordingly, fees are non-refundable once the agreement has been entered into, except where Elena Herdieckerhoff expressly agrees otherwise in writing, where a refund is expressly provided for under these Terms, or where a refund is required by applicable law.

12.3 Client is encouraged to review the applicable program description and ask any questions necessary before purchasing.

12.4 Client's decision to discontinue participation does not cancel outstanding installments or otherwise eliminate Client's obligation to pay the agreed program fee.

12.5 Nothing in these Terms excludes or restricts a legal right or remedy that cannot validly be excluded under applicable law.

13. INTELLECTUAL PROPERTY: RED DOT STAGE MATERIALS

13.1 All pre-existing methodologies, frameworks, systems, templates, exercises, training materials, educational content, worksheets, videos, recordings, processes, models, and other proprietary materials created or owned by Elena Herdieckerhoff and used in connection with the Red Dot Stage brand remain the intellectual property of Elena Herdieckerhoff or the applicable licensor.

13.2 Client receives a personal, non-transferable right to use such Red Dot Stage program materials for Client's own participation in the program and internal professional development.

13.3 Unless expressly authorized in writing, Client may not reproduce, republish, sell, license, distribute, teach, commercialize, sublicense, or provide Red Dot Stage program materials to third parties.

13.4 Participation in a Red Dot Stage program does not transfer ownership of Red Dot Stage methodologies, frameworks, templates, systems, know-how, or other pre-existing intellectual property to Client.

14. CLIENT CONTENT AND BESPOKE TALK MATERIALS

14.1 Client retains ownership of Client's pre-existing intellectual property, manuscripts, stories, recordings, research, business materials, and other original content supplied to Red Dot Stage.

14.2 Subject to full payment of all amounts owed under the applicable agreement, Client owns the final bespoke speech or talk created specifically for Client as a deliverable under a purchased speechwriting or ghostwriting service.

14.3 Elena Herdieckerhoff retains ownership of all underlying Red Dot Stage methodologies, frameworks, processes, templates, know-how, general techniques, and pre-existing materials used in developing Client's bespoke work.

14.4 Nothing in these Terms prevents Elena Herdieckerhoff or the Red Dot Stage team from using general skills, experience, methodologies, know-how, techniques, or non-confidential ideas in work for other clients, provided Client's confidential information and bespoke content are not disclosed or reproduced.

14.5 Where the person receiving the services is different from the contracting Client, ownership and usage rights relating to bespoke deliverables will be determined by the applicable offer or written agreement.

15. CONFIDENTIALITY

15.1 Each party agrees to treat the other party's non-public confidential information with reasonable care and not disclose it except as reasonably necessary to perform the agreement or where disclosure is required by law.

15.2 Client confidential information may include:

  • unpublished manuscripts;

  • talk concepts;

  • personal stories;

  • intellectual property;

  • business information;

  • strategic information;

  • recordings;

  • research materials;

  • applications;

  • financial information; and

  • other information reasonably understood to be confidential.

15.3 Elena Herdieckerhoff may share relevant confidential information with members of the Red Dot Stage team, contractors, speechwriters, researchers, professional advisers, agencies, and service providers where reasonably necessary to perform the services, subject to appropriate confidentiality obligations.

15.4 Confidential information does not include information that:

a) is or becomes publicly available without breach of these Terms;

b) was lawfully known to the receiving party before disclosure;

c) is lawfully received from a third party without a confidentiality obligation; or

d) is independently developed without use of the other party's confidential information.

15.5 These confidentiality obligations survive completion or termination of the program.

16. SESSION RECORDINGS AND DATA STORAGE

16.1 Coaching sessions are recorded for Client review, service delivery, and development of program deliverables.

16.2 Following each coaching session, Red Dot Stage will provide Client with access to the session recording via Dropbox or another designated file-sharing service.

16.3 Client is responsible for downloading and securely saving each session recording within seven (7) days after the download link is sent to Client.

16.4 The recording link is provided for a limited seven-day download period. After this period, Red Dot Stage is not required to retain the recording or provide Client with a replacement copy.

16.5 Client is responsible for maintaining Client's own copies of any session recordings Client wishes to retain.

16.6 Recordings and other Client materials may be processed or stored using third-party technology providers, including video conferencing and cloud-storage platforms.

16.7 Recording and storing coaching sessions for the purposes described above does not grant Red Dot Stage permission to publicly use Client's name, voice, image, likeness, testimonial, talk, recording, or confidential information for marketing purposes.

17. TESTIMONIALS, PUBLICITY AND MARKETING

17.1 Red Dot Stage will not publicly identify Client, publish Client's confidential information, use Client's likeness, or use Client's testimonial for marketing purposes without Client's permission.

17.2 Where Client separately grants permission for use of a testimonial, case study, photograph, video, talk, results, or similar material, the scope of use will be governed by the permission given.

17.3 Participation in a Red Dot Stage program alone does not constitute consent to public marketing use.

18. TED AND TEDx DISCLAIMER

18.1 Red Dot Stage is an independent coaching and consulting brand and is not affiliated with, endorsed by, sponsored by, or otherwise connected with the TED organization or TEDx.

18.2 TEDx events are independently organized by third parties under license from TED.

18.3 Neither Elena Herdieckerhoff nor Red Dot Stage controls or is responsible for the actions, decisions, policies, or outcomes of TED, TEDx, TEDx organizers, YouTube, or other independent third parties, including:

  • selection committee decisions;

  • speaker acceptance or rejection;

  • event policies, requirements, or procedures;

  • publication or editorial decisions;

  • whether, when, where, or in what form a talk is published;

  • YouTube publication or distribution;

  • any decision by TED to add disclaimers, notices, warnings, contextual information, annotations, labels, or other editorial material to a talk, its video, or its associated webpage;

  • edits, modifications, restrictions, or other changes made to a published talk or its presentation by TED, TEDx, YouTube, or another platform;

  • video removal;

  • the continued availability of a talk;

  • platform distribution, recommendation, ranking, or visibility; or

  • any other editorial, publishing, platform, or organizational decisions taken by TED, TEDx organizers, YouTube, or other independent third parties.

18.4 Client acknowledges that TED, TEDx organizers, YouTube, and other third parties may make decisions concerning Client's talk before or after publication that are entirely outside Elena Herdieckerhoff's and Red Dot Stage's control.

19. NO GUARANTEE OF TEDx ACCEPTANCE OR ORGANIC PERFORMANCE

19.1 Red Dot Stage does not guarantee that Client will obtain a TEDx speaking opportunity or any other speaking engagement.

19.2 Unless Client separately purchases a promotional package carrying an express guaranteed public YouTube view count under Section 21, Red Dot Stage does not guarantee that Client's talk will achieve any particular number of views or any particular level of organic performance.

19.3 Red Dot Stage does not guarantee any particular level of organic:

  • views;

  • likes;

  • comments;

  • shares;

  • watch time;

  • media coverage;

  • publicity;

  • business opportunities;

  • revenue; or

  • other results.

19.4 Red Dot Stage does not guarantee that a talk will become viral through organic distribution or that TED, TEDx, YouTube, or another platform will publish, promote, recommend, retain, or continue distributing Client's talk.

19.5 Sections 19.2 through 19.4 do not limit the express guarantee applicable where Client separately purchases a promotional package providing a guaranteed number of public YouTube views under Section 21.

19.6 Client acknowledges that organic performance depends upon numerous factors outside Red Dot Stage's control, including Client's performance, organizer decisions, audience response, platform algorithms and policies, market conditions, timing, content relevance, and third-party actions.

19.7 Testimonials, case studies, previous client outcomes, audience figures, examples, and Elena Herdieckerhoff's own results represent past experiences and do not constitute promises or guarantees of equivalent organic results for Client.

20. OPTIONAL YOUTUBE PROMOTION SERVICES

20.1 Client may separately purchase a promotional package for Client's published talk or video.

20.2 Promotional services are separate from Red Dot Stage's coaching, speech development, speechwriting, and Application Concierge services unless expressly included in Client's purchased package.

20.3 Promotional services may be fulfilled with the assistance of an independent specialist agency or other qualified promotional provider engaged by Elena Herdieckerhoff in connection with the Red Dot Stage brand.

20.4 The specific promotional package purchased by Client, including the number of guaranteed public YouTube views, the applicable delivery timeframe, and any other expressly included deliverables, will be stated in Client's offer, invoice, payment page, or other written purchase confirmation.

20.5 Promotional campaigns may use paid advertising, audience targeting, media buying, campaign management, and other legitimate promotional methods.

21. GUARANTEED PUBLIC YOUTUBE VIEWS FOR PURCHASED PROMOTION PACKAGES

21.1 Where Client purchases a Red Dot Stage promotional package that expressly specifies a guaranteed number of YouTube views, Red Dot Stage guarantees that the purchased number of views will be added to and visible in the public view count displayed on Client's promoted YouTube talk or video.

21.2 The guaranteed number of views is the quantity stated in Client's accepted promotional offer, invoice, payment page, or other written purchase confirmation.

21.3 For example, if Client purchases a promotional package providing 100,000 guaranteed YouTube views, Red Dot Stage guarantees delivery of at least 100,000 additional public views to the promoted talk or video.

21.4 The purchased promotional views are separate from any organic views the talk or video receives independently. Organic views may therefore increase the total public view count beyond the number purchased by Client.

21.5 Unless expressly included in Client's purchased promotional package, the guarantee relates only to the purchased number of public YouTube views and does not guarantee any particular number or level of:

  • likes;

  • comments;

  • shares;

  • watch time;

  • leads;

  • sales;

  • speaking opportunities;

  • media coverage;

  • organic reach;

  • recommendations by the YouTube algorithm; or

  • other engagement or commercial results.

21.6 The delivery timeframe for the guaranteed views will be specified in Client's promotional offer, invoice, payment page, or other written purchase confirmation.

21.7 Red Dot Stage guarantees delivery of the purchased number of public YouTube views within the delivery timeframe specified in Client's promotional offer or purchase confirmation.

21.8 Red Dot Stage and its appointed promotional provider may manage and optimize the promotional campaign as necessary to deliver the purchased public view count within the agreed delivery timeframe.

21.9 Client agrees that the promoted video must remain publicly available and technically capable of being promoted throughout the campaign.

21.10 If the video is removed, made private, restricted, disabled, or otherwise made unavailable for promotion by Client, TED, TEDx, YouTube, an event organizer, or another third party before delivery is complete, Red Dot Stage will not be responsible for delays or non-delivery to the extent caused by such circumstances.

21.11 The guaranteed promotional view count and delivery timeframe under this Section are express exceptions to the general no-results-guarantee provisions contained elsewhere in these Terms.

22. THIRD-PARTY SERVICE PROVIDERS

22.1 Certain services may be delivered wholly or partly with the assistance of independent third-party providers, agencies, or specialist partners.

22.2 Red Dot Stage may engage such providers where reasonably necessary to perform the purchased service.

22.3 Unless otherwise expressly agreed, Elena Herdieckerhoff remains Client's contractual contact for Red Dot Stage services purchased directly from Red Dot Stage.

22.4 Red Dot Stage is not responsible for independent acts, omissions, technical failures, policy changes, or decisions exclusively within the control of unrelated third parties, except to the extent an express guarantee in these Terms provides otherwise.

22.5 Nothing in this Section limits the express guaranteed public YouTube view count and delivery timeframe provided under Section 21.

23. PROFESSIONAL RELATIONSHIP AND NO PROFESSIONAL ADVICE

23.1 Red Dot Stage provides coaching, consulting, speech development, writing, educational, promotional, and related professional services.

23.2 Neither Elena Herdieckerhoff nor Red Dot Stage acts as Client's lawyer, accountant, tax adviser, investment adviser, medical provider, or psychotherapist.

23.3 Client remains responsible for obtaining independent professional advice where appropriate and for decisions concerning Client's legal affairs, finances, business, health, career, and other personal or professional matters.

24. PROFESSIONAL CONDUCT

24.1 Both parties agree to conduct themselves professionally and respectfully throughout the engagement.

24.2 Elena Herdieckerhoff may suspend or terminate Red Dot Stage services in the event of serious or repeated abusive, threatening, discriminatory, harassing, unlawful, or materially disruptive conduct by Client.

24.3 Where termination results from Client's material breach, amounts already paid will not be refunded and outstanding amounts remain payable to the extent permitted by applicable law.

25. LIMITATION OF LIABILITY

25.1 Elena Herdieckerhoff is liable without limitation for:

a) damage caused intentionally or through gross negligence;

b) injury to life, body, or health; and

c) any other liability that cannot legally be excluded or limited.

25.2 In cases of ordinary negligence involving breach of a material contractual obligation, liability shall be limited, to the extent permitted by law, to the foreseeable damage typical for this type of agreement.

25.3 Subject to Sections 25.1 and 25.2, Elena Herdieckerhoff shall not be liable for indirect or consequential losses, loss of opportunity, loss of anticipated profits, loss of business, reputational harm, or losses arising from decisions of TED, TEDx organizers, YouTube, event organizers, media outlets, or other independent third parties, to the extent such liability may lawfully be excluded.

25.4 The limitations contained in this Section do not eliminate or reduce the specific guaranteed public YouTube view count and delivery timeframe expressly provided under Section 21.

25.5 Nothing in these Terms excludes or restricts liability where doing so would be prohibited by applicable law.

26. FORCE MAJEURE

26.1 Neither party will be liable for delay or failure to perform obligations caused by circumstances beyond that party's reasonable control, including serious illness or incapacity, bereavement, serious family emergencies, natural disasters, war, terrorism, civil unrest, government action, widespread technology outages, or comparable events.

26.2 The affected party will notify the other party as soon as reasonably practicable.

26.3 Where performance is temporarily prevented, the parties will use reasonable efforts to reschedule or continue performance when reasonably possible.

26.4 If circumstances described in this Section prevent Red Dot Stage from resuming or completing the agreed services within a reasonable period, Red Dot Stage may terminate the agreement upon written notice to Client. Client will remain responsible for payment for all services, preparation, research, work product, deliverables, and other work already performed. Where Client has prepaid the program fee, Red Dot Stage will refund the portion of the prepaid fee reasonably attributable to services that will not be performed, taking into account all work already performed as of the termination date. Client will not be responsible for payment for services that will not be performed.

27. TERMINATION FOR MATERIAL BREACH

27.1 Either party may terminate the agreement for material breach where the other party fails to remedy a remediable material breach within a reasonable period after written notice.

27.2 Red Dot Stage may suspend performance while material overdue payments remain outstanding.

27.3 Termination does not affect rights or payment obligations accrued before termination.

27.4 Provisions concerning intellectual property, confidentiality, outstanding payment obligations, disclaimers, and liability survive termination to the extent required by their nature.

27.5 If Client validly terminates the agreement as a result of an uncured material breach by Red Dot Stage, Client will not be responsible for payment for services that will not be performed. Where Client has prepaid the program fee, Red Dot Stage will refund the portion of the prepaid fee reasonably attributable to services that will not be performed, taking into account all services, preparation, research, work product, deliverables, and other work already performed as of the termination date.

28. DATA PROTECTION

28.1 Personal data is processed in accordance with Red Dot Stage's Privacy Policy and applicable data protection law.

28.2 Client acknowledges that delivery of the services may require use of third-party technology providers, including:

  • payment processors;

  • scheduling systems;

  • video conferencing providers;

  • cloud storage providers;

  • email providers;

  • advertising platforms; and

  • other professional technology services.

28.3 The current Privacy Policy is available on the Red Dot Stage website.

29. CHANGES TO SERVICE DELIVERY

29.1 Red Dot Stage may make reasonable changes to administrative processes, technology providers, scheduling systems, team allocation, or methods of delivery where those changes do not materially reduce the services purchased by Client.

29.2 Material changes to the agreed scope of Client's purchased program require mutual agreement.

30. ASSIGNMENT

30.1 Client may not transfer or assign Client's participation in a program to another person without Elena Herdieckerhoff's prior written consent.

31. ENTIRE AGREEMENT

31.1 These Terms, together with the applicable offer, proposal, program description, payment page, invoice, and any individually agreed written terms, constitute the agreement between the parties concerning the purchased services.

31.2 Individually negotiated agreements expressly made between Elena Herdieckerhoff and Client take precedence over these standard Terms.

31.3 No failure or delay by either party in exercising a contractual right constitutes a waiver of that right.

32. SEVERABILITY

32.1 If any provision of these Terms is or becomes invalid or unenforceable, the remaining provisions remain unaffected to the extent permitted by applicable law.

32.2 The consequences of any invalid or unenforceable provision will be determined in accordance with applicable statutory law.

33. GOVERNING LAW AND JURISDICTION

33.1 These Terms and the contractual relationship between Elena Herdieckerhoff and Client are governed by the laws of the Federal Republic of Germany.

33.2 To the extent that the parties may validly agree upon jurisdiction under applicable law, Munich, Germany shall be the place of jurisdiction.

33.3 Before commencing formal proceedings, the parties are encouraged to make a good-faith attempt to resolve any dispute directly.
